Welcome! Carefully read these Terms of Service (“TOS”). "We", "our", "us", or "Cios" refer to Cios Technologies Inc. "You" refers to the individual agreeing to these TOS. These TOS are a binding legal agreement between you and Cios.

We may update these TOS occasionally. Changes will be notified when you log into the Platform. By using the Platform after being notified of TOS changes, you accept the new terms. These TOS apply to your use of the Platform and Website.

1. Definitions

In this TOS, capitalized terms have these meanings. Additional terms are defined throughout the TOS. These definitions apply specifically within the context of this TOS.

“Claim”: A request for coverage under a Coverage Policy.

“Coverage Policy”: A policy bought through the Platform detailing coverage, limits, and terms.

“Covered”: The person(s) benefiting from a Coverage Policy purchased via the Platform.

“Coverer”: The company underwriting your Coverage Policy, specified in the policy.

“Platform”: Cios' proprietary software on the Website for quotes, buying/managing Coverage Policies, and submitting Claims.

“Premium”: The fee for a Coverage Policy's coverage.

“Privacy Policy”: Our privacy policy at https://www.getcios.com/privacy-policy, subject to updates.

“Representatives”: Cios' employees, agents, and subcontractors.

“Third-Party Providers”: External parties providing services or functions as part of the Platform, not from Cios or Representatives.

“Website”: Cios' website at https://www.getcios.com/, including all future subdomains.

2. General Code of Conduct for Platform Use

Your use of the Platform must follow this code of conduct:

  • Don't use the Platform in ways that break these TOS.
  • Don't infringe on the intellectual property of Cios, Third-Party Providers, or others.
  • Avoid using the Platform for spam, such as unsolicited ads, bulk emails/messages, or links to spam/phishing sites.
  • Don't use the Platform to spread harmful software like viruses, or to damage or illegally access any software, hardware, data, or personal information of Cios, other users, or third parties.
  • You must not:
  • Overload Cios' or Third-Party Providers' infrastructure excessively.
  • Disrupt the Platform or its operations.
  • Circumvent any access restrictions to the Platform.
  • Use tools to scrape or crawl any Platform content.
  • Collect or scrape content from the Platform.
  • Use the Platform responsibly and follow all relevant laws.

3. Accounts

To use the Platform, you must create an account and choose a strong password that meets any shown requirements. You're responsible for any issues caused by not logging out or leaving your account open. Cios isn’t liable for losses or damages from your actions like not logging out or account misuse by others. We can close your account anytime for any reason.

4. Data Protection and Privacy

In using the Platform, you acknowledge and agree to Cios' data protection and privacy practices as follows:

  • Collection and Use: Cios collects personal data necessary for service provision, including, but not limited to, your name, contact details, and transaction history. This data is utilized for facilitating Platform access, processing transactions, and service enhancement.
  • Security Measures: Cios employs stringent security protocols to safeguard your personal data against unauthorized access, alteration, and destruction. These include advanced encryption techniques, strict access controls, and secure data storage.
  • Legal Compliance: We adhere to applicable data protection laws and regulations. Your data is shared only when legally required or with your express consent.
  • User Rights: You possess the right to access, rectify, or delete your personal data. Requests can be made through our designated contact channels.
  • Policy Updates: Should there be changes to our privacy practices, we will inform you via registered contact methods or through Platform notifications.

5. Acknowledgements for Third-Party Covereds

Before buying a Coverage Policy on the Platform for yourself or others, you agree to the following:

  • You and any third-party Covereds are at least 18 years old.
  • The Coverage Policy is for your benefit or for you and someone else.
  • All information you provide is true to your knowledge. You'll give extra information for coverage underwriting or regulatory needs if we ask. This also applies to third-party Covereds, and you confirm you have their consent to share their information now and in the future.

6. Purchase of Coverage Policy

When buying a Coverage Policy on the Platform, you agree to the following:

  • You and any third-party Covereds must follow the Coverage Policy terms, provided to you before and after purchase. The policy is based on your and third-party information.
  • Platform quotes are estimates. The final Premium, in US dollars, is fixed once set. It may be converted to other currencies based on your location or card agreement. Sales taxes, shown at checkout, are extra.
  • You will pay the Premium and any sales tax. Stripe, Inc. handles payments, accepting certain credit cards (subject to change). Stripe's rules and terms apply to transactions. Cios isn’t responsible for Stripe errors or failures.
  • These terms are in addition to any terms in the Coverage Policy.

7. Submitting and Processing of Claims

Submit your Claim through the Platform immediately after noticing your loss or damage. When submitting claims, you agree to:

  • Ensure all Claim information is truthful and accurate.
  • Provide any extra information Cios needs for processing your Claim, also truthful and accurate.
  • Accept that Cios decides the validity and payment amount of your Claim.
  • Understand that payments for valid Claims will be made to you or relevant Third-Party Covereds as per the method in your Coverage Policy.
  • Recognize these terms are in addition to the Coverage Policy's claim processing terms.

8. Proprietary Rights

You acknowledge that:

  • The Platform is protected by intellectual property laws, owned by Cios and third parties.
  • Intellectual Property Rights include worldwide patents, copyrights, designs, trade secrets, trademarks, and legal protections.
  • You won’t copy, modify, reverse engineer, or misuse the Platform or its content. Don’t bypass security, or alter any proprietary notices.
  • The Platform’s layout, content, and code are Cios’ property or licensed and cannot be used without permission. Unauthorized use may lead to legal action.
  • This applies to third-party components in the Platform, like computer code.
  • Any improvements you suggest for the Platform (“Feedback”) become Cios’ property. You give up all rights and claims to Feedback and won't be compensated for it.
  • Mentioning third-party products or services doesn’t mean Cios endorses them.

9. Interruption of Service

The Platform may occasionally be offline briefly for maintenance or updates. We'll try to minimize downtime. Cios isn't liable for any losses or damages from these interruptions.

10. Termination of the Platform, Your Access Thereto, and these TOS 

Cios can, at our discretion, block your IP, revoke your account, or terminate your access to the Platform at any time without notice, if we believe you've violated these TOS. Existing Coverage Policies remain valid until their expiration date, even if your access is terminated.

Cios may stop providing the Platform or parts of it at any time. We're not liable for any losses from this discontinuation. Any active Coverage Policies will still be valid until they expire.

Terminating your access or the Platform ends these TOS between us. However, sections like intellectual property, disclaimers, indemnity, and liability limits will still apply after termination.

11. External Links

Cios may link to third-party websites or services (Third-Party Resources) on the Platform. Using these is at your risk, and governed by their terms. We provide these links for convenience and aren't responsible for your use of them. Review their terms and privacy policies. We don’t endorse their content, products, or services.

Cios and our Representatives aren’t liable for:

  • Any damages from using Third-Party Resources or their information.
  • Malware received through these resources.
  • Harm from using or relying on their content, products, or services.
  • The actions of Third-Party Resource operators.

12. Disclaimer of Warranties

Using the Platform and its information (from Cios or others) is solely at your risk. The Platform and Third-Party Resources are "as is" and "as available". You're responsible for any computer damage or data loss from using the Platform. Cios isn't liable for any financial or other losses from using or downloading from the Platform.

While we strive for accuracy, information on the Platform may change or contain errors. We're not liable for any losses due to these changes or errors.

Cios disclaims all warranties, including uninterrupted, error-free service, and absence of viruses. We don’t guarantee:

  • Secure, constant access to the Platform.
  • Error correction.
  • Virus-free content or software.
  • That the Platform will meet your needs.

Some Platform content is third-party. We’re not responsible for this content, products, or services.

If the law requires certain warranties, we provide only the minimum needed by law.

13. Limitations of Liability

Cios and our Representatives aren't liable for any losses or damages related to information on or downloaded from the Platform, using the Platform, or third-party materials on the Platform.

To the fullest extent allowed by law, neither Cios nor our Representatives will be liable for any direct, indirect, or other damages (like lost profits or data, business interruption) related to using or not being able to use the Platform, even if advised of the possibility of such damages. This applies to all legal claims.

14. Indemnity

Despite any other terms in these TOS or any actions or inactions by Cios or our Representatives, you agree to protect, defend, and compensate Cios and our Representatives from any costs, liabilities, or legal fees resulting from:

  1. Your use of or connection to the Platform and its information.
  2. Your activities related to the Platform.
  3. Your breach of these TOS.
  4. Your infringement of third-party rights.

15. Governing Laws and Jurisdiction

These TOS are governed by Ontario and applicable Canadian laws, excluding rules that would apply other laws. Legal actions related to these TOS or the Platform must be in Ontario's courts, to which you consent. Cios can sue you in your jurisdiction for injunctions, judgments unenforceable in Ontario, or to enforce Ontario judgments.

The United Nations Convention of Contracts for the International Sale of Goods doesn't apply to these TOS or Platform disputes.

This section applies to Platform use disputes, not to disputes involving Insurance Policies, which are governed by their terms and relevant laws.

16. Miscellaneous Provisions

These TOS are your complete agreement with Cios regarding the Platform, replacing any previous agreements. If you're a Covered or have bought a Coverage Policy for you and someone else, you're also bound by that policy's terms. In Coverage Policy disputes, its terms prevail over these TOS.

Cios isn't liable for not meeting TOS obligations due to uncontrollable events like mechanical or communication failures.

If a court finds any TOS provision invalid, the rest remain effective. You agree that the court should try to preserve the intended effect of the invalid provision.

Cios' failure to enforce a TOS provision isn't a waiver of that provision.

Section titles in these TOS are just for reference and have no legal effect.
